Resolutions attached to the petition indicate that the board of directors has decided to sell the company's assets to Aurify Brands
, the operator of The Little Beet, Melt Shop, Fields Good Chicken and various NYC Five Guy locations. As part of that anticipated transaction, Aurify would buy the secured debt of Moussechoux, Inc. in the debtors, for $1 million, and such debt will be credit bid. Moussechoux is the parent of Cosmoledo and Cosmoledo is the sole member of the other debtors.
